Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Specistry (“Specistry,” “we,” “us”), currently operated as a sole proprietorship and not a registered company. These Terms will be updated if that changes. By creating an account, accessing, or using Specistry (the “Service”), you agree to them. If you do not agree, do not use the Service.

Please read Sections 5, 16, 17 and 18 carefully. They cover electronic signatures, disclaim warranties, limit our liability to you, and require you to indemnify us in certain circumstances.

1. Who may use Specistry

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a business, you represent that you are authorized to bind that business, and “you” includes both you and that business.

You may not use the Service if you are barred from doing so under applicable law, or if we have previously terminated your account.

2. Definitions

Personal Account — an individual tracking their own vehicles. Shop Account — a repair business using the Service to manage repair orders, including the Small Shop and Business tiers. Shop Customer — a vehicle owner whose information a Shop Account enters into the Service, and who may receive an approval link. Content — anything you upload, enter, or generate through the Service, including photos, documents, part records, notes, customer records, estimates and invoices.

3. What the Service is — and is not

Specistry is a record-keeping and workflow tool for vehicle builds and repair orders. It helps you record parts, costs, photos, documents, labor and repair-order status, and helps Shop Accounts produce estimates and invoices and request customer approval.

Specistry is not a party to any transaction between a Shop Account and its Shop Customer. We do not perform, supervise, inspect, warrant or price automotive work. We are not an agent, broker, insurer, escrow agent, or payment processor for that work. Any repair agreement, estimate, invoice, warranty, or dispute is solely between the shop and its customer.

Specistry does not provide automotive, mechanical, safety, legal, tax, accounting, or financial advice. Figures the Service calculates — including totals, taxes, shop supplies, margins, balances and technician pay — are conveniences based on the data and rates you enter. You are responsible for verifying them, for charging correct tax, and for complying with the laws that apply to your business, including any requirement to obtain written authorization before performing repairs.

The Service is in an early, actively-developed stage. Features, limits, pricing and availability may change or be discontinued. We provide no uptime guarantee. We will try to give notice of material changes but are not obligated to.

4. Your account

You are responsible for your credentials and for everything that happens under your account. Use a strong, unique password and tell us promptly at support@specistry.com if you suspect unauthorized access.

Shop Accounts are responsible for the acts and omissions of every staff member, technician or other person they grant access, as if they were the shop's own.

5. Electronic signatures, approvals and records

The Service can generate a link that a Shop Account shares with its Shop Customer, allowing that customer to approve or decline individual lines of a repair order and to sign electronically.

Consent to electronic records. By using the Service, and by signing through an approval link, you consent to transact electronically and agree that electronic signatures, approvals and records have the same legal effect as handwritten signatures and paper records under the U.S. E-SIGN Act, the Uniform Electronic Transactions Act, and comparable laws. You may withdraw consent by contacting the shop and arranging a paper authorization instead; withdrawal does not affect signatures already given.

Records. When a customer signs, we record the selections made, the typed name, the drawn signature, the date and time, and the IP address and browser reported by the device used. A signed approval reflects the estimate as it stood when the link was created. If the repair order changes afterward, the link stops working and the shop must send a new one.

Limits of what this proves. We do not verify the identity of anyone who opens or signs through an approval link, and we do not verify that the person signing is the vehicle's owner or is authorized to approve the work. Anyone holding the link can act on it. Shop Accounts are solely responsible for sending links to the right person, for confirming that person's authority, and for deciding whether an electronic authorization is sufficient for their purposes and jurisdiction. Some states impose specific requirements on repair authorizations — meeting them is the shop's responsibility, not ours.

We do not send approval links on a shop's behalf. The shop distributes the link itself and is responsible for how it does so, including compliance with any laws governing calls, texts and email.

6. Shop Customer information

Shop Accounts enter information about their customers and vehicles. As between you and Specistry, the Shop Account controls that information and is responsible for it. By entering it you represent that you have the right to do so, that you have given any notices and obtained any consents required by law, and that you will handle it in accordance with applicable privacy laws.

We process that information to provide the Service, as described in our Privacy Policy. We do not sell it. Each Shop Account's customer records are separate: customer numbers and records are scoped to the shop that created them, and a shop cannot see another shop's customers.

If a Shop Customer asks us to access, correct or delete information a shop entered, we will generally direct them to the shop, and will cooperate with the shop to respond.

7. Your content

You keep ownership of your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting and display), and transmit your Content solely to operate, maintain, secure and improve the Service, and to provide it to you and to people you share it with. This license ends when you delete the Content or close your account, except for copies retained in routine backups for a limited period, and except where we must retain it by law.

You are responsible for your Content and represent that you have the rights to it and that it does not infringe anyone's rights or violate any law. Do not upload anything you do not have the right to upload.

Vehicle transfer. Personal Accounts can transfer a vehicle's record to another user. A transfer moves the Content you select to the recipient and is not reversible by us. Anything you choose not to include is deleted as part of the transfer. Confirm the recipient before transferring.

Copyright. If you believe Content on the Service infringes your copyright, contact support@specistry.com with enough detail to identify the work and the material, your contact information, and a statement of good-faith belief. We will respond appropriately, which may include removing the material and terminating repeat infringers.

8. Documents the Service generates

Estimates, quotes, invoices, repair orders and spec sheets produced through the Service are your documents, not ours. We do not review them, verify their accuracy, or confirm that they meet any legal, regulatory or industry requirement. You are responsible for their contents, for the prices, taxes and fees on them, and for issuing them correctly.

Specistry Build Sheets and similar outputs are owner-generated records. They are not manufacturer window stickers, are not certifications of any kind, and we do not verify anything on them.

9. Plans, limits and payment

Some tiers are subject to limits, such as the number of vehicles or photos, which we may change. If we introduce paid plans, we will publish the price and terms before charging you, and fees will be stated at the time. Unless we say otherwise, fees are exclusive of taxes, and you are responsible for any taxes on your purchase.

10. Acceptable use

You agree not to:

  • break the law, infringe rights, or help anyone else do so;
  • upload malware, or attempt to gain unauthorized access to the Service or another user's data;
  • probe, scan, overload, or interfere with the Service or its infrastructure, or circumvent any limit, rate limit or access control;
  • scrape or bulk-extract data from the Service, or use automated means to access it, other than through features we provide;
  • resell or provide the Service to third parties except as a Shop Account serving its own customers;
  • use the Service to send unsolicited messages, or to harass, defraud or impersonate anyone, including by misrepresenting a shop or a repair authorization;
  • reverse engineer the Service except where that restriction is unenforceable by law.

We may investigate suspected violations and suspend or terminate access, with or without notice.

11. Our intellectual property

The Service, including its software, design, and the Specistry name and logo, belongs to us and is protected by intellectual property laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service as intended. No other rights are granted.

12. Feedback

If you send us suggestions, we may use them without restriction or obligation to you. Do not send us anything you consider confidential.

13. Third-party data and services

The Service uses third-party sources, including vehicle data decoded from VINs through the U.S. NHTSA vPIC database, part information and prices read from retailer websites, product-page previews, and hosting, storage and email providers.

We do not guarantee any of it. Decoded vehicle details may be wrong, incomplete or missing, particularly for older vehicles. Part prices and availability change and may be stale, wrong, or in a different currency than displayed. Verify anything that matters — especially anything you bill a customer for or rely on for a repair decision.

Third-party services have their own terms and may change or become unavailable, which may affect the Service.

14. Privacy

Our Privacy Policy explains what we collect and how we use it, and forms part of these Terms.

15. Suspension, termination and your data

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if we reasonably believe it is necessary to protect the Service or others, or if we discontinue the Service.

After termination we may delete your Content. Export anything you want to keep before you close your account. Sections that by their nature should survive termination — including Sections 7 (license granted), 8, 11, 16, 17, 18, 19 and 20 — do survive.

The Service is not a backup service, an archival service, or a system of record for legal, tax or regulatory purposes. Keep your own copies of anything you are required to retain.

16. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that data will not be lost or that calculations will be accurate. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPECISTRY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST GOODWILL, OR LOST OR CORRUPTED DATA, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Without limiting the above, we are not liable for any dispute between a Shop Account and its Shop Customer, for work performed or not performed, for amounts billed or unpaid, or for whether an electronic authorization is enforceable in a given case.

These limits apply even if a remedy fails its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

18. Indemnification

You will defend, indemnify and hold harmless Specistry and its operator from any claim, demand, loss, liability or expense (including reasonable legal fees) arising out of or related to: your Content; your use of the Service; your breach of these Terms or of any law; your relationship or dealings with your Shop Customers, including any dispute about work, billing, or authorization; and your handling of any personal information you enter into the Service.

19. Disputes

Talk to us first. If you have a problem, contact support@specistry.com and give us 30 days to resolve it informally. Most issues can be settled this way.

Governing law and venue. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Florida, and each of us waives any objection to venue there.

Nothing prevents either of us from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information, or from bringing an individual claim in small claims court.

20. General

Entire agreement. These Terms and the Privacy Policy are the entire agreement between us about the Service and supersede any prior understanding.

Severability. If any provision is unenforceable, it is modified to the minimum extent necessary or severed, and the rest remains in force.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.

Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.

Notices. We may give notice by email to the address on your account or by posting in the Service. Send notices to us at support@specistry.com.

No third-party beneficiaries. These Terms do not give rights to anyone other than you and us.

21. Changes to these Terms

We may update these Terms. If a change is material, we will make reasonable efforts to notify you — for example by email or an in-app notice — before it takes effect. The “last updated” date above always reflects the current version. Continuing to use the Service after a change takes effect means you accept the updated Terms. If you do not accept them, stop using the Service and close your account.
